THIS AGREEMENT is made on the 07th September day of 2009.
BETWEEN--
(A) KRAHE CONSULTING
a business registered in Germany and having its place of business at Schwarzwaldstrasse 11, 73734 Esslingen, Germany (hereinafter referred to as the "Seller"); and

(B) NEWPOWER GROUP
a business registered in Hong Kong and having its place of business at RM C-E,9/F China Overseas Bldg, 139 , Hennessy Rd. Wanchai, Hong Kong hereinafter referred to as the "buyer").

WHEREAS:-The Seller wishes to sell and the buyer wishes to purchase USED OR NEW PASSENGER VEHICLES on the terms and conditions hereinafter set forth.

NOW IT IS HEREBY AGREED:-
1. INTERPRETATION
In this Agreement, unless the context otherwise requires, the following expressions shall have the following meanings:-

1.1 "Completion Date" means within one(01) month from the date after receipt of firm confirmation or such other date as the “SELLER” and the “BUYER” may agree in writing or upon signing “SELLER” Performa invoice(s); Reference to clause 1.3.
